Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the Pantree mobile application (“App”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use the App.

2. Description of Service

Pantree is a recipe management and household kitchen organiser that allows you to:

• Store and manage recipes (manually or imported from websites and photos)
• Track pantry inventory
• Create and manage shopping lists
• Share recipes, pantry, and shopping lists with household members
• Find recipes you can cook based on available pantry items

The App is available with a free tier and optional paid subscription plans. See Section 3 for details on subscription plans and billing.

3. Subscription Plans & Billing

3.1 Plans

Usage allowances (recipe imports and AI Chef messages) are shared across all members of a household. Only the household owner’s subscription plan determines the household’s allowance.

3.2 Billing & Auto-Renewal

• All subscriptions are billed through your Apple ID via the App Store.
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
• All prices are in US Dollars (USD). Local currency equivalents may vary based on App Store pricing.

3.3 Free Trials

We may offer free trial periods for paid subscriptions. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate. Free trial eligibility is determined by Apple and may be limited to one trial per Apple ID.

3.4 Cancellation

• You may cancel your subscription at any time through your Apple ID account settings.
• Upon cancellation, you will retain access to your paid plan features until the end of the current billing period.
• After the billing period ends, your account will revert to the Free plan.
• No partial refunds are provided for unused portions of a subscription period.

3.5 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the start of the next billing period. We reserve the right to change subscription pricing with reasonable notice. Price changes will not affect your current billing period.

4. Account Registration

4.1 Sign-In Requirements

To use Pantree, you must sign in using a Google Account. By signing in, you authorise us to access your basic profile information (name, email address, and profile photo) as provided by Google. You are responsible for:

• Maintaining the security of your Google Account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use of your account

4.2 Account Eligibility

You must be at least 13 years of age to create an account and use Pantree. If you are under 18, you represent that you have your parent or guardian’s permission to use the App.

5. User Content

5.1 Ownership

You retain ownership of all content you create or upload to Pantree, including recipes, photos, pantry items, and shopping lists (“User Content”).

5.2 Licence Grant

By uploading User Content to Pantree, you grant us a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display your content solely for the purpose of providing and improving the App’s services to you and your household members.

5.3 Content Responsibility

You are solely responsible for your User Content. You agree not to upload content that:

• Infringes on any third party’s intellectual property rights
• Contains malicious code or harmful material
• Is illegal, defamatory, or otherwise objectionable
• Violates any applicable law or regulation

6. Recipe Import Feature

6.1 Third-Party Websites

Pantree allows you to import recipes from third-party websites by providing a URL. When you use this feature:

• We fetch the publicly available content at the URL you provide
• We use AI (powered by OpenAI) to extract recipe information from the page content
• We are not affiliated with any third-party recipe websites
• We do not guarantee the accuracy or completeness of imported recipes
• You are responsible for verifying that importing content does not violate any third-party terms of service or copyright

6.2 AI-Powered Extraction

Recipe import and photo extraction features use artificial intelligence (currently powered by OpenAI). AI-extracted content may contain errors or inaccuracies. You should always review and verify imported recipes, especially ingredients and measurements, before cooking.

7. Household Sharing

7.1 Creating and Joining Households

Pantree allows you to create or join a household to share kitchen resources with other users:

• Each user may belong to one household at a time
• The household creator becomes the household owner
• New members may join via an invitation code generated by the household owner
• The maximum number of household members depends on the owner’s subscription plan

7.2 Permissions and Access

Within a household:

• All members share access to the household pantry and shopping lists
• Members can choose to share individual recipes with the household
• The household owner can remove members at any time
• Any member may leave a household voluntarily

7.3 Shared Content

When you share content with your household, other members will be able to view and interact with that content. If you leave a household, your shared recipes will be removed from the household, but pantry items and shopping list contributions will remain.

8. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the App
• Interfere with or disrupt the App’s servers or networks
• Use automated systems (bots, scrapers) to access the App
• Attempt to gain unauthorised access to other users’ accounts
• Use the App to distribute spam, malware, or harmful content
• Circumvent any usage limits or restrictions imposed by your subscription plan
• Resell, sublicence, or commercially exploit the App or its content

9. Intellectual Property

9.1 Our Rights

The Pantree App, including its design, features, code, trademarks, and all related intellectual property, is owned by Pantree and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the App beyond the limited right to use it in accordance with these Terms.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the App, you grant us an unrestricted, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback without obligation to you.

10. Disclaimers

10.1 “As Is” Basis

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Recipe Accuracy

Recipes available through Pantree, whether user-created, imported, or generated by AI, are provided for informational purposes only. We do not guarantee the accuracy, safety, or nutritional information of any recipe. Always use your own judgement when preparing food.

10.3 Dietary and Allergy Disclaimer

Pantree is not a medical or dietary advisory service. Specifically:

• We do not guarantee that recipes are free from allergens
• AI-generated ingredient lists may be incomplete or inaccurate
• Pantry tracking is based on user input and may not reflect actual quantities or expiry status
• You should always verify ingredients if you have food allergies or dietary restrictions
• Consult a healthcare professional for nutritional or dietary advice

10.4 Service Availability

We strive to maintain consistent service availability but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANTREE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APP EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR FIFTY US DOLLARS (US$50), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pantree and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content

13. Account Termination

13.1 By You

You may delete your account at any time through the App’s settings. Upon deletion, your User Content will be permanently removed in accordance with our Privacy Policy.

13.2 By Us

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties. We will make reasonable efforts to notify you before termination, except where immediate action is necessary.

14. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the App or by other reasonable means. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pantree regarding your use of the App and supersede all prior agreements and understandings.
